Terms & Conditions

The rules that govern your use of the Hotels4Sale platform.

These Terms & Conditions ("Terms") govern your access to and use of the Hotels4Sale website and platform at https://hotels4sale.com (the "Platform"). The Platform is operated by Hotels4Sale Limited, a company registered in England and Wales under company number 09019036, with its registered office at 274 West End Lane, London, NW6 1LJ, United Kingdom ("Hotels4Sale", "we", "us", "our"). By registering an account or otherwise using the Platform you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use the Platform.

1. What Hotels4Sale is

Hotels4Sale is a discreet, off-market introduction platform. It enables hotel owners (and their authorised representatives), prospective buyers (and their authorised representatives) and licensed brokers holding a direct mandate to discover one another and exchange information about hotel assets that are not publicly marketed.

Hotels4Sale is an information and introduction service only. We are not a real estate agent, broker, auctioneer, financial adviser, valuer or party to any transaction. We do not list property on our own account, do not handle funds, and do not negotiate, conclude or guarantee any sale. Any transaction is concluded directly between the parties and their professional advisers.

2. Eligibility and accounts

  • You must be at least 18 years old and have the legal capacity to enter into a binding contract.
  • You must register using accurate, current and complete information, and keep it up to date.
  • If you register on behalf of a company or another person (for example as a personal assistant or under a broker mandate), you confirm that you are authorised to do so and to bind that party to these Terms.
  • Every registration is subject to manual review and approval by Hotels4Sale. We may approve, decline, suspend or close any account at our discretion, including where vetting checks are not satisfied.
  • You are responsible for keeping your login credentials confidential and for all activity under your account.

3. Acceptable use

When using the Platform you must not:

  • provide false, misleading or fraudulent information, or impersonate any person or entity;
  • submit listing or buyer information you are not authorised to share;
  • use the Platform for any unlawful, fraudulent or harmful purpose, including money laundering or sanctions evasion;
  • publish, forward or otherwise disclose off-market or confidential information obtained through the Platform to anyone who is not entitled to receive it;
  • attempt to gain unauthorised access to the Platform, other accounts, or our systems, or introduce malware;
  • scrape, harvest, copy or systematically extract data from the Platform; or
  • use the Platform to send spam or unsolicited communications.

The Platform Rules below form part of these Terms and also apply to your use of the Platform.

4. Listings and information

Information about hotel assets, buyers and mandates is supplied by users. We do not independently verify, endorse or guarantee the accuracy, completeness or currency of any such information, and we make no representation that any asset is available, that any price is achievable, or that any party is genuine or solvent. You must carry out your own due diligence and take independent professional advice before relying on any information or entering into any transaction.

5. Intellectual property

The Platform, its design, text, graphics, logos and software are owned by or licensed to Hotels4Sale Limited and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose. You retain ownership of content you submit, but grant us a licence to host, process and display it as necessary to operate the Platform.

6. Disclaimers and limitation of liability

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all warranties, conditions and representations not expressly set out in these Terms.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under the laws of England and Wales.

Subject to the paragraph above, we are not liable for any loss of profit, loss of business, loss of opportunity, loss of goodwill, or any indirect or consequential loss, and our total aggregate liability arising out of or in connection with the Platform shall not exceed GBP 100.

7. Anti-money laundering and sanctions

Hotels4Sale is an introduction service and not a bank, payment service or other financial institution. We do not receive, hold, escrow or transfer funds between users. Any payment, deposit or fee connected with a transaction is made directly between the parties and their professional advisers, outside the Platform.

You are responsible for the lawfulness of your source of funds and for complying with all anti-money-laundering and counter-terrorist-financing obligations that apply to you, including, where applicable, the UK Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 and the Proceeds of Crime Act 2002.

By using the Platform you represent and warrant that neither you, nor any person or entity you represent, nor any person whose funds are used in connection with a transaction, is subject to sanctions imposed by the United Nations, the United Kingdom, the European Union, the United States or any other applicable authority, and that your use of the Platform is lawful in your jurisdiction.

We may carry out identity, eligibility and due-diligence checks, request supporting documentation, and delay, restrict, decline, suspend or terminate access where such checks are not satisfied. We may report suspected unlawful activity to the relevant authorities where required or permitted by law.

8. Suspension and termination

We may suspend, restrict or terminate your access to the Platform at any time, with or without notice, including where we reasonably believe you have breached these Terms. You may close your account at any time by contacting us. Provisions that by their nature should survive termination will continue to apply.

9. Changes to these Terms

We may update these Terms from time to time. The current version is always available on the Platform and the date of the last update is shown above. Continued use of the Platform after a change takes effect constitutes acceptance of the revised Terms.

10. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, save that we may bring proceedings in any jurisdiction where you are established.

11. Miscellaneous

  • Entire agreement: these Terms, together with the Privacy Policy, Cookie Policy, Disclaimer and Platform Rules, constitute the entire agreement between you and us regarding the Platform and supersede any prior understanding or agreement.
  • Severability: if any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision shall be replaced by a valid one that most closely reflects its original intent.
  • Assignment: you may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms to an affiliate, or to a successor in connection with a merger, acquisition or sale of assets.
  • No waiver: any failure or delay by us in exercising a right under these Terms does not operate as a waiver of that right.
  • Force majeure: we are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, government action, or infrastructure, hosting or internet outages.
  • Third parties: a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its provisions.
  • Governing language: these Terms are published in English, which is the governing language, and may be translated into other languages for convenience only. In the event of any conflict or ambiguity between versions, the English text prevails.

Privacy Policy

How we collect, use and protect your personal data under UK data protection law.

This Privacy Policy explains how Hotels4Sale Limited ("we", "us", "our") collects and processes personal data when you use the Hotels4Sale platform. We are the data controller for that personal data. We are committed to processing personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

1. Who we are

2. The personal data we collect

  • Account data: email address and a securely hashed password.
  • Profile data: full name, telephone number, country, company or agency name, your role (principal or personal assistant), and for brokers a licence number and mandate side.
  • Buyer criteria: budget range, target locations and asset categories you choose to share.
  • Submitted content: notes, references and any other information you provide in forms.
  • Technical data: IP address, browser and device information, and session identifiers.
  • Usage and communications data: how you interact with the Platform and correspondence you exchange with us.

We do not intentionally collect special category data. Please do not submit it through the Platform.

3. How we use personal data and our lawful bases

  • To create and administer your account, review your registration and provide the Platform, lawful basis: performance of a contract (and steps taken at your request before entering into it).
  • To verify identity and eligibility, prevent fraud, maintain security and protect the integrity of an off-market environment, lawful basis: our legitimate interests and compliance with legal obligations.
  • To send service communications (for example email verification, approval decisions, password resets), lawful basis: performance of a contract.
  • To respond to your enquiries and provide support, lawful basis: legitimate interests.
  • To comply with legal, regulatory and accounting obligations, lawful basis: legal obligation.
  • To set non-essential cookies or send marketing, where applicable, lawful basis: consent, which you may withdraw at any time.

4. Sharing your personal data

We do not sell personal data. We share it only with:

  • service providers who process data on our behalf under contract, including our hosting provider, our content delivery and security provider (Cloudflare), and our email delivery provider (Resend);
  • other Platform users, but only to the limited extent necessary to make an introduction you have requested or agreed to, the off-market design means identifying details are not disclosed without the relevant party’s consent;
  • professional advisers, regulators or law enforcement where required by law or to protect our rights.

5. International transfers

Some of our service providers may process personal data outside the United Kingdom. Where they do, we ensure an appropriate safeguard is in place, such as a UK adequacy regulation or the International Data Transfer Agreement (or the UK Addendum to the EU Standard Contractual Clauses).

6. How long we keep personal data

We keep personal data for as long as your account is active and for a reasonable period afterwards to meet legal, accounting and fraud-prevention requirements. Where a registration is declined, we keep a minimal record of the decision for security and audit purposes. We delete or anonymise personal data when it is no longer needed.

7. Your rights

Under UK data protection law you have the right to access your personal data; to have inaccurate data corrected; to have data erased; to restrict or object to processing; to data portability; and to withdraw consent where processing relies on consent. To exercise any right, contact uk@hotels4sale.com. We will respond within one month.

You also have the right to lodge a complaint with the Information Commissioner’s Office (ICO), the UK supervisory authority, at ico.org.uk. We would, however, appreciate the chance to address your concerns first.

8. Security

We use appropriate technical and organisational measures to protect personal data, including encryption in transit, hashing of passwords, access controls, isolated server accounts and a firewall. No method of transmission or storage is completely secure, but we work to protect your data and review our measures regularly.

9. Personal data breaches

We maintain procedures to detect, investigate and respond to personal data breaches. Where a breach is likely to result in a risk to your rights and freedoms, we will notify the Information Commissioner’s Office without undue delay and, where feasible, within 72 hours of becoming aware of it. Where a breach is likely to result in a high risk to your rights and freedoms, we will also inform the affected users without undue delay.

The limits of the information provided through the Platform.

1. Information only - not advice

All information on the Hotels4Sale platform is provided for general information and introduction purposes only. It does not constitute investment, financial, legal, tax, valuation or other professional advice, and must not be relied upon as such. You should obtain independent professional advice before making any decision.

2. No verification or endorsement

Listings, buyer profiles, mandates and other information are supplied by users. Hotels4Sale does not verify, endorse, recommend or guarantee any asset, party, price, financial figure or representation appearing on the Platform. An introduction made through the Platform is not a recommendation.

3. No guarantee of accuracy or availability

We make no warranty that any information is accurate, complete, current or free from error, or that any asset described is genuinely available or that any party is genuine, authorised or solvent. Off-market information can change quickly and without notice.

4. Your responsibility - due diligence

You are solely responsible for carrying out your own due diligence and verification, and for engaging suitably qualified advisers, before entering into any negotiation or transaction. Any transaction is concluded entirely at your own risk and directly between the parties involved.

5. No liability

To the fullest extent permitted by law, Hotels4Sale accepts no liability for any loss or damage arising from reliance on information obtained through the Platform, from any transaction between users, or from the conduct of any user. This disclaimer is subject to the limitation of liability set out in the Terms & Conditions.

Platform Rules

The conduct expected of every member of the off-market community.

These Platform Rules protect the discretion and integrity of the Hotels4Sale off-market community. They form part of the Terms & Conditions and apply to every user. Breaching them may lead to suspension or removal from the Platform.

1. Confidentiality of off-market information

Off-market means private. Any teaser, detailed listing, buyer requirement, mandate or party identity you access through the Platform is confidential. You must not publish it, forward it, or disclose it to anyone who is not a party entitled to receive it. You must not screenshot, copy or redistribute confidential listing material.

2. Accurate and authorised information

  • Provide only true, accurate and current information.
  • Only submit a hotel, mandate or buyer requirement if you are the principal or are properly authorised to act for them.
  • Brokers must hold a genuine, current mandate matching the side they register under, and must be able to evidence it on request.

3. The teaser and request model

Sellers choose which fields appear in a public teaser and which remain locked. Buyers and brokers see teasers that match their criteria and may request the locked detail. Respect this model: do not attempt to obtain locked information by circumvention, pressure or deception, and request details only where you have a genuine interest.

4. No circumvention

Once introduced through the Platform, deal with one another honestly. Do not use the Platform to make contact and then act in bad faith towards another user or towards Hotels4Sale, and do not misuse another user’s details for any purpose other than the introduction itself.

5. Respectful conduct

Communicate professionally and respectfully. Do not send spam, harass other users, or behave in a way that damages the trust the community depends on.

6. Enforcement

Hotels4Sale reviews every registration and may investigate suspected breaches. We may, at our discretion, request evidence, restrict features, suspend or permanently remove any account, and report unlawful conduct to the relevant authorities.
